Friendzone is a private membership community for dating, networking and friendship through curated in-person events and experiences. Our goal is to foster a safe, trusted community for members to meet, share, and engage face-to-face in ways that lead to genuine connection and memorable experiences beyond the app. With that in mind, here are a few of the most important things to know about Friendzone:
We strive to foster a community where all members feel comfortable, secure, respected, and that their privacy is protected. We do this in a number of ways:
Our team and community reviewers have been carefully selected and operate under strict confidentiality obligations, so, other than as you elect to share it through your actions or activity within the Service (as defined below), your information, interest, and involvement remains strictly between you and us.
We only select community members who we believe will adhere to our Community Guidelines, including respecting the privacy and boundaries of our members, and who have agreed to do so pursuant to these Terms of Use. Further, we periodically review our community and remove members who are not acting in accordance with our Community Guidelines or the below Terms of Use or who are otherwise engaging in disrespectful, unsafe, inappropriate, exploitative, or improper behavior.
We provide members with tools and controls designed to help manage profile visibility, notifications, communication preferences, and participation throughout the Friendzone experience, and encourage members to utilize them at any time if they are uncomfortable for any reason.
In short, our members are the most important thing to us. Your comfort, safety, and trust in our community are the things we care most about, and we will never compromise that. Our community is different. If you’re a current member and have read this far - because you’re one of those people who has concerns - yet still wants to use Friendzone, then we’re talking to you… YOU are the reason we built this. Every decision we make comes from our desire to provide you the experience you have hoped this would be: a trusted community centered around real-world connection, meaningful experiences, and meeting people in person. 1. Introduction
Friendzone Match Inc. (“Friendzone,” the “Company,” “we,” “us,” or “our”) provides its mobile application, website, events, and related services, including those related to applications, memberships, events, venues, locations, communications, matching, and other in-person interactions (collectively, the “Service”), subject to these Terms of Use, as amended from time to time (the “Terms”).
By submitting an application to Friendzone, creating an account, purchasing a membership, RSVPing to or attending an event, accessing the website, downloading the mobile application, or otherwise using the Service in any manner, you agree to be bound by these Terms, our Privacy Policy, and any Community Guidelines, rules, or policies made available by Friendzone from time to time.
If you do not accept and agree to be bound by these Terms, you may not access or use the Service.
We reserve the right, in our sole discretion and subject to applicable law, to change or modify these Terms at any time. When we do so, we will update the Effective Date above. Your continued access to or use of the Service after any updated Terms become effective constitutes your acceptance of the updated Terms. You should review these Terms regularly.
2. Application and Registration Process
In order to gain access to certain features of the Service, prospective users may be required to submit an application. All applications may be reviewed by Friendzone, but we reserve complete control and sole discretion regarding who is accepted, waitlisted, denied, removed, or granted membership.
Submitting an application does not guarantee acceptance. Applicants who are not accepted may be placed on a waitlist, which may be reviewed on an ongoing basis. Applicant status may change from waitlisted to accepted at any time.
By submitting an application, you agree that Friendzone may contact you by email, text message, push notification, in-app message, or other electronic means regarding your application, membership, events, account, or the Service.
If accepted, you may be required to register for an account and provide certain information in order to activate your membership or access certain features of the Service. You agree to provide and maintain true, accurate, current, and complete information about yourself.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to promptly notify us if you suspect any unauthorized use of your account or any other security breach.
Membership is a privilege, not a right. We reserve the right, in our sole discretion and subject to applicable law, to accept, deny, suspend, restrict, revoke, or terminate any application, account, membership, ticket, event access, or use of the Service at any time and for any reason.
3. Eligibility
You must be at least 18 years old to access or use the Service. By submitting an application, creating an account, purchasing a membership, RSVPing to or attending an event, or otherwise using the Service, you represent and warrant that:
You are at least 18 years old.
You have the right, authority, and capacity to enter into these Terms.
You will comply with these Terms and all applicable laws, rules, and regulations.
The information you provide to Friendzone is accurate, current, and complete.
You have not been previously removed from the Service unless we have expressly authorized your return.
We may request additional information to verify your identity, age, eligibility, or application information at any time.
4. Memberships, Subscriptions, Payments, and In-App Purchases
Friendzone may offer paid memberships, subscriptions, tickets, event access, and other in-app purchases.
Upon acceptance as a member, you may be required to select a subscription option from among available prices, durations, and membership offerings. By making a purchase, you agree to the pricing, billing, renewal, cancellation, and payment terms presented to you at the time of purchase.
Membership subscriptions may automatically renew unless cancelled in accordance with the cancellation policies of the applicable app store, payment provider, or platform. If you purchase through Apple, your payment and cancellation rights may be governed by your Apple account and Apple’s applicable terms.
All fees are final and non-refundable except where required by applicable law or expressly stated by Friendzone.
We reserve the right to change pricing, membership offerings, subscription durations, in-app purchases, tickets, event access, features, benefits, or availability at any time.
Unused memberships, tickets, in-app purchases, or any unused portion of a subscription may not be refunded upon expiration, cancellation, suspension, or termination, except where required by applicable law.
5. Community Guidelines and Member Conduct
Friendzone is built on trust, discretion, safety, privacy, and respect for others. By using the Service, you agree to comply with these Terms, our Community Guidelines, and any rules or standards communicated by Friendzone.
You agree not to:
Use the Service for any unlawful purpose.
Harass, threaten, intimidate, abuse, discriminate against, exploit, or harm another person.
Engage in unsafe, predatory, deceptive, disrespectful, aggressive, or otherwise inappropriate conduct.
Share, record, distribute, publish, or disclose another member’s personal information, profile, photos, videos, conversations, attendance, event participation, or other private content without their consent.
Screenshot, screen record, copy, disclose, or share private content from the Service where prohibited by Friendzone or applicable law.
Impersonate any person or entity or misrepresent your identity, age, status, affiliation, location, qualifications, or intentions.
Use fake, misleading, outdated, or deceptive profile or application information.
Solicit money, investments, gifts, services, personal information, contact information, or other items of value from another member.
Promote, market, advertise, recruit for, or sell any product, service, business, event, organization, or opportunity without our prior written consent.
Sell, transfer, share, sublicense, or provide access to your account, invitation, ticket, event access, or membership benefits.
Use the Service to stalk, embarrass, pressure, manipulate, or repeatedly contact another person.
Post, upload, send, or transmit content that is offensive, obscene, pornographic, sexually explicit, hateful, threatening, defamatory, misleading, exploitative, illegal, or otherwise objectionable.
Interfere with, disrupt, reverse engineer, scrape, copy, or misuse the Service.
Use information obtained through the Service to contact, advertise to, solicit, or sell to another member without their prior explicit consent.
We reserve the right to investigate, restrict, suspend, remove, or terminate any account, membership, content, or access to the Service if we believe, in our sole discretion, that a user has violated these Terms, our Community Guidelines, or the values and safety of the Friendzone community.
This includes conduct occurring on the Service, at events, outside the Service, or prior to membership if we believe such conduct may affect the safety, trust, reputation, or experience of the Friendzone community.
6. Events and In-Person Interactions
Friendzone may organize, host, facilitate, promote, or make available in-person events and experiences.
By RSVPing to, attending, or participating in any Friendzone event, you acknowledge and agree that participation is voluntary and at your own risk.
You are solely responsible for your interactions with other members, guests, venues, vendors, and third parties, both online and offline. Friendzone does not conduct criminal background checks on members and does not guarantee the conduct, identity, intentions, background, compatibility, or behavior of any member, guest, attendee, venue, vendor, or third party.
You agree to exercise reasonable judgment, caution, and personal responsibility when interacting with others, attending events, travelling to or from events, consuming alcohol, sharing personal information, communicating outside the Service, or meeting anyone in person.
Friendzone is not responsible for any injury, loss, theft, damage, dispute, misconduct, emotional distress, property damage, personal injury, death, or other harm arising out of or related to:
Your attendance at or participation in any event.
Your interactions with any member, guest, attendee, venue, vendor, or third party.
Any transportation, food, beverages, alcohol, activity, venue, or third-party service related to an event.
Any conduct, act, omission, or experience occurring before, during, or after an event.
To the fullest extent permitted by law, you release Friendzone Match Inc., its officers, directors, employees, contractors, agents, affiliates, service providers, and partners from any claims, demands, losses, liabilities, damages, costs, or expenses arising out of or related to your attendance at any event or interaction with another person through or related to the Service.
7. User Content
You are solely responsible for any content or information you submit, upload, post, publish, display, transmit, send, record, or otherwise make available through the Service, including profile information, photos, videos, messages, answers, preferences, application information, event-related content, or communications with other users (“User Content”).
You represent and warrant that:
You own or have the necessary rights to submit your User Content.
Your User Content is accurate, lawful, and not misleading.
Your User Content does not violate the rights of any person or third party.
Your User Content complies with these Terms and our Community Guidelines.
You may not submit User Content that is offensive, inaccurate, misleading, abusive, obscene, profane, threatening, intimidating, harassing, hateful, discriminatory, sexually explicit, exploitative, commercial, illegal, or otherwise inappropriate.
By submitting User Content through the Service, you grant Friendzone a worldwide, non-exclusive, transferable, sublicensable, royalty-free license to host, store, use, copy, display, reproduce, adapt, edit, publish, modify, and distribute such User Content for the limited purpose of operating, providing, improving, developing, promoting, and protecting the Service.
We may remove, edit, restrict, or refuse to display any User Content at any time if we believe, in our sole discretion, that it violates these Terms, our Community Guidelines, applicable law, or may negatively affect the safety, privacy, trust, reputation, or experience of the Friendzone community.
You acknowledge that User Content you share with other users may be viewed, copied, saved, or shared by those users, even if prohibited by these Terms. You should use caution when sharing personal information or content.
8. Commercial Use
The Service is intended for personal use only, unless we expressly authorize otherwise in writing.
You may not use the Service or any content obtained through the Service in connection with any commercial purpose, including advertising, recruiting, selling, soliciting, promoting, market research, lead generation, or contacting members for business purposes, without our prior written consent.
Organizations, companies, brands, agencies, promoters, and businesses may not use the Service for any purpose without Friendzone’s express written consent, which may be withheld at our sole discretion.
9. Third-Party Services and Social Networking Services
The Service may include links to, integrations with, or features involving third-party websites, platforms, payment processors, app stores, venues, vendors, analytics providers, communication providers, social media platforms, or other third-party services.
You may be able to connect, verify, or provide information through third-party services such as Instagram, LinkedIn, Apple, or other social networking or platform services. If you choose to use or connect third-party services, those services may provide us with access to certain information, and we may use, store, and disclose that information in accordance with our Privacy Policy.
Your use of third-party services is governed by the terms and policies of those third parties. Friendzone does not control and is not responsible for any third-party service, including its content, accuracy, availability, security, privacy practices, policies, or actions.
Any dealings you have with third parties through or in connection with the Service are solely between you and the applicable third party.
10. Mobile Services, Communications, Notifications, and Location
The Service may include features available through mobile devices, including account access, event access, profile features, messages, matching, notifications, SMS, email, push notifications, and location-related functionality.
By using the Service, submitting an application, creating an account, or providing your contact information, you agree that we may contact you by email, SMS, text message, push notification, in-app message, or other electronic means regarding your application, account, membership, events, transactions, safety, updates, or the Service.
Standard carrier message, data, and other fees may apply.
You may be asked to accept or deny push notifications or location access. You can manage certain notification and location settings through your device settings or the Service. Some features may not function properly if you disable notifications, location access, or other permissions.
If you change or deactivate your phone number or email address, you agree to promptly update your account information to avoid messages being sent to the wrong person.
11. Apple-Enabled Software Applications
Friendzone may offer software applications intended to be operated in connection with products made commercially available by Apple Inc. (“Apple”).
With respect to software made available for use on Apple-branded products, the following terms apply:
These Terms are between you and Friendzone, not Apple.
Friendzone, not Apple, is solely responsible for the Service and its content.
Your license to use the application is limited to a non-transferable license to use the application on an Apple-branded product that you own or control, as permitted by the Apple App Store Terms of Service.
Apple has no obligation to provide maintenance or support services for the Service.
Apple is not responsible for any warranties, claims, losses, liabilities, damages, costs, or expenses related to the Service, except as required by applicable law.
You represent and warrant that you are not located in a country or region subject to applicable embargoes or restrictions and are not listed on any applicable prohibited or restricted party list.
Apple and its subsidiaries are third-party beneficiaries of these Terms with respect to the Apple-enabled application and may enforce these Terms against you as a third-party beneficiary.

12. Intellectual Property
Friendzone owns and retains all rights, title, and interest in and to the Service, including its software, design, features, functionality, branding, trademarks, logos, text, graphics, images, videos, audio, content, data, layout, selection, arrangement, and other materials, except for User Content and third-party materials.
You may not copy, reproduce, modify, create derivative works from, distribute, sell, lease, license, publicly display, publicly perform, publish, download, store, transmit, reverse engineer, scrape, or otherwise exploit any part of the Service without our prior written consent.
You may not remove, obscure, or alter any copyright, trademark, or other proprietary notices appearing in or through the Service.
13. Copyright Complaints
If you believe that content available through the Service infringes your copyright or other intellectual property rights, please contact us at hello@friendzone.co with:
Your name and contact information.
Identification of the work claimed to have been infringed.
Identification of the material claimed to be infringing and information reasonably sufficient to locate it.
A statement that you have a good faith belief that the disputed use is not authorized by the rights owner, its agent, or the law.
A statement that the information you provide is accurate and that you are authorized to act on behalf of the rights owner.
Your physical or electronic signature.
We may remove or disable access to content that we believe may infringe another person’s rights and may terminate accounts of users who repeatedly infringe intellectual property rights.
14. Disclaimers
The Service is provided on an “as is” and “as available” basis. We make no warranties or representations about the accuracy, reliability, availability, completeness, or performance of the Service or any content made available through the Service.
We do not guarantee that:
The Service will always be available, secure, uninterrupted, or error-free.
Matches, recommendations, applications, events, or interactions will result in any specific outcome.
Any member, guest, attendee, venue, vendor, or third party will behave appropriately or consistently with your expectations.
The Service will meet your requirements or expectations.
Any defects, errors, or issues will be corrected.
To the fullest extent permitted by law, Friendzone disclaims all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We assume no liability or responsibility for any:
Errors, mistakes, or inaccuracies of content.
Personal injury or property damage resulting from your access to or use of the Service or attendance at any Friendzone event.
Unauthorized access to or use of our servers or any personal information stored therein.
Interactions, disputes, or conduct between members, guests, attendees, venues, vendors, or third parties, whether online or offline.
Interruption, deletion, defect, delay, theft, destruction, unauthorized access, or failure to store any content, communications, or account information.
Technical malfunction, network issue, device issue, software issue, or failure of email, SMS, push notifications, or other communications.
Any material downloaded or otherwise obtained through the Service is accessed at your own discretion and risk.
15. Limitation of Liability
To the fullest extent permitted by law, Friendzone Match Inc., its affiliates, officers, directors, employees, contractors, licensors, service providers, partners, and agents shall not be liable to you or any third party for any indirect, incidental, consequential, special, exemplary, punitive, or similar damages, including loss of profits, data, goodwill, business opportunities, reputation, or other intangible losses arising out of or related to:
Your access to, use of, or inability to access or use the Service.
Your application, membership, subscription, account, or event access.
Your attendance at or participation in any Friendzone event.
Your interactions with other members, guests, attendees, venues, vendors, or third parties.
Any conduct or content of any member or third party.
Unauthorized access to or use of your account, content, communications, or information.
Any interruption, suspension, modification, restriction, termination, or discontinuation of the Service.
To the fullest extent permitted by law, Friendzone’s total liability to you for any claim arising out of or relating to the Service or these Terms shall not exceed the amount paid by you to Friendzone, if any, during the twelve months preceding the event giving rise to the claim.
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
16. Indemnification
You agree to defend, indemnify, and hold harmless Friendzone Match Inc., its affiliates, officers, directors, employees, contractors, licensors, service providers, partners, and agents from and against any claims, demands, damages, liabilities, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:
Your access to or use of the Service.
Your violation of these Terms or our Community Guidelines.
Your User Content.
Your violation of any law or the rights of another person.
Your conduct at any Friendzone event.
Your interaction with any member, guest, attendee, venue, vendor, or third party.
Your misuse of the Service, account, membership, ticket, invitation, or event access.
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with us in connection with such defense.
17. Termination
These Terms remain in effect while you use the Service or have an account, application, membership, subscription, ticket, or event access.
You may terminate your account at any time by following the instructions in the Service, where available, or by contacting us at hello@friendzone.co.
We may, in our sole discretion and subject to applicable law, suspend, restrict, terminate, delete, or deactivate your account, membership, application, ticket, event access, or access to any part of the Service at any time, with or without notice, for any reason, including if we believe that you:
Violated these Terms or our Community Guidelines.
Failed to uphold the values or standards of the Friendzone community.
Provided false, misleading, or incomplete information.
Engaged in conduct that may harm another person, the Service, Friendzone, or the community.
Created risk, liability, reputational harm, or safety concerns for Friendzone or others.
Upon termination, your right to access or use the Service will immediately cease. We may delete or restrict access to your account, content, information, and related materials, subject to applicable law and our Privacy Policy.
Termination does not entitle you to a refund of any membership fees, subscription fees, tickets, in-app purchases, or unused portions thereof, except where required by applicable law.
18. Changes to the Service
We reserve the right to modify, suspend, discontinue, restrict, replace, or remove any part of the Service, including applications, memberships, subscriptions, pricing, features, matching, events, tickets, communications, or availability, at any time and without liability, subject to applicable law.
Certain features, events, memberships, or updates may not be available to all users and may vary based on location, membership status, availability, capacity, preferences, testing, operational needs, or other factors determined by Friendzone.
19. Notices
We may provide notices to you using any reasonable means, including email, SMS, text message, push notification, in-app message, postings within the Service, or updates to our website.
You agree that notices delivered through these methods satisfy any legal requirement that such communications be in writing, to the fullest extent permitted by law.
You are responsible for keeping your contact information current.
20. Reviews and Feedback
Nothing in these Terms is intended to prevent you from providing lawful reviews, opinions, or feedback about Friendzone or the Service.
If you submit suggestions, ideas, feedback, or recommendations to Friendzone, you agree that we may use them without restriction or compensation to you.
21. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute, claim, or controversy arising out of or relating to these Terms, the Service, your account, your membership, your application, your subscription, your attendance at events, or your interactions through the Service shall be resolved exclusively in the courts located in Toronto, Ontario, and you consent to the personal jurisdiction and venue of such courts.
22. Severability
If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision shall be deemed modified or severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
23. Entire Agreement
These Terms, together with our Privacy Policy, Community Guidelines, and any additional terms, rules, or policies incorporated by reference, constitute the entire agreement between you and Friendzone Match Inc. regarding your use of the Service and supersede all prior or contemporaneous agreements, understandings, communications, or representations relating to the Service.
No agency, partnership, joint venture, employment, or franchise relationship is created as a result of these Terms.
You may not assign or transfer your account, membership, rights, or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms in connection with a merger, acquisition, sale of assets, restructuring, or by operation of law.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Friendzone may offer paid memberships, subscriptions, tickets, event access, and other in-app purchases.
Upon acceptance as a member, you may be required to select a subscription option from among available prices, durations, and membership offerings. By making a purchase, you agree to the pricing, billing, renewal, cancellation, and payment terms presented to you at the time of purchase.
Membership subscriptions may automatically renew unless cancelled in accordance with the cancellation policies of the applicable app store, payment provider, or platform. If you purchase through Apple, your payment and cancellation rights may be governed by your Apple account and Apple’s applicable terms.
All fees are final and non-refundable except where required by applicable law or expressly stated by Friendzone.
We reserve the right to change pricing, membership offerings, subscription durations, in-app purchases, tickets, event access, features, benefits, or availability at any time.
Unused memberships, tickets, in-app purchases, or any unused portion of a subscription may not be refunded upon expiration, cancellation, suspension, or termination, except where required by applicable law.
5. Community Guidelines and Member Conduct
Friendzone is built on trust, discretion, safety, privacy, and respect for others. By using the Service, you agree to comply with these Terms, our Community Guidelines, and any rules or standards communicated by Friendzone.
You agree not to:
Use the Service for any unlawful purpose.
Harass, threaten, intimidate, abuse, discriminate against, exploit, or harm another person.
Engage in unsafe, predatory, deceptive, disrespectful, aggressive, or otherwise inappropriate conduct.
Share, record, distribute, publish, or disclose another member’s personal information, profile, photos, videos, conversations, attendance, event participation, or other private content without their consent.
Screenshot, screen record, copy, disclose, or share private content from the Service where prohibited by Friendzone or applicable law.
Impersonate any person or entity or misrepresent your identity, age, status, affiliation, location, qualifications, or intentions.
Use fake, misleading, outdated, or deceptive profile or application information.
Solicit money, investments, gifts, services, personal information, contact information, or other items of value from another member.
Promote, market, advertise, recruit for, or sell any product, service, business, event, organization, or opportunity without our prior written consent.
Sell, transfer, share, sublicense, or provide access to your account, invitation, ticket, event access, or membership benefits.
Use the Service to stalk, embarrass, pressure, manipulate, or repeatedly contact another person.
Post, upload, send, or transmit content that is offensive, obscene, pornographic, sexually explicit, hateful, threatening, defamatory, misleading, exploitative, illegal, or otherwise objectionable.
Interfere with, disrupt, reverse engineer, scrape, copy, or misuse the Service.
Use information obtained through the Service to contact, advertise to, solicit, or sell to another member without their prior explicit consent.
We reserve the right to investigate, restrict, suspend, remove, or terminate any account, membership, content, or access to the Service if we believe, in our sole discretion, that a user has violated these Terms, our Community Guidelines, or the values and safety of the Friendzone community.
This includes conduct occurring on the Service, at events, outside the Service, or prior to membership if we believe such conduct may affect the safety, trust, reputation, or experience of the Friendzone community.
6. Events and In-Person Interactions
Friendzone may organize, host, facilitate, promote, or make available in-person events and experiences.
By RSVPing to, attending, or participating in any Friendzone event, you acknowledge and agree that participation is voluntary and at your own risk.
You are solely responsible for your interactions with other members, guests, venues, vendors, and third parties, both online and offline. Friendzone does not conduct criminal background checks on members and does not guarantee the conduct, identity, intentions, background, compatibility, or behavior of any member, guest, attendee, venue, vendor, or third party.
You agree to exercise reasonable judgment, caution, and personal responsibility when interacting with others, attending events, travelling to or from events, consuming alcohol, sharing personal information, communicating outside the Service, or meeting anyone in person.
Friendzone is not responsible for any injury, loss, theft, damage, dispute, misconduct, emotional distress, property damage, personal injury, death, or other harm arising out of or related to:
Your attendance at or participation in any event.
Your interactions with any member, guest, attendee, venue, vendor, or third party.
Any transportation, food, beverages, alcohol, activity, venue, or third-party service related to an event.
Any conduct, act, omission, or experience occurring before, during, or after an event.
To the fullest extent permitted by law, you release Friendzone Match Inc., its officers, directors, employees, contractors, agents, affiliates, service providers, and partners from any claims, demands, losses, liabilities, damages, costs, or expenses arising out of or related to your attendance at any event or interaction with another person through or related to the Service.
7. User Content
You are solely responsible for any content or information you submit, upload, post, publish, display, transmit, send, record, or otherwise make available through the Service, including profile information, photos, videos, messages, answers, preferences, application information, event-related content, or communications with other users (“User Content”).
You represent and warrant that:
You own or have the necessary rights to submit your User Content.
Your User Content is accurate, lawful, and not misleading.
Your User Content does not violate the rights of any person or third party.
Your User Content complies with these Terms and our Community Guidelines.
You may not submit User Content that is offensive, inaccurate, misleading, abusive, obscene, profane, threatening, intimidating, harassing, hateful, discriminatory, sexually explicit, exploitative, commercial, illegal, or otherwise inappropriate.
By submitting User Content through the Service, you grant Friendzone a worldwide, non-exclusive, transferable, sublicensable, royalty-free license to host, store, use, copy, display, reproduce, adapt, edit, publish, modify, and distribute such User Content for the limited purpose of operating, providing, improving, developing, promoting, and protecting the Service.
We may remove, edit, restrict, or refuse to display any User Content at any time if we believe, in our sole discretion, that it violates these Terms, our Community Guidelines, applicable law, or may negatively affect the safety, privacy, trust, reputation, or experience of the Friendzone community.
You acknowledge that User Content you share with other users may be viewed, copied, saved, or shared by those users, even if prohibited by these Terms. You should use caution when sharing personal information or content.
8. Commercial Use
The Service is intended for personal use only, unless we expressly authorize otherwise in writing.
You may not use the Service or any content obtained through the Service in connection with any commercial purpose, including advertising, recruiting, selling, soliciting, promoting, market research, lead generation, or contacting members for business purposes, without our prior written consent.
Organizations, companies, brands, agencies, promoters, and businesses may not use the Service for any purpose without Friendzone’s express written consent, which may be withheld at our sole discretion.
9. Third-Party Services and Social Networking Services
The Service may include links to, integrations with, or features involving third-party websites, platforms, payment processors, app stores, venues, vendors, analytics providers, communication providers, social media platforms, or other third-party services.
You may be able to connect, verify, or provide information through third-party services such as Instagram, LinkedIn, Apple, or other social networking or platform services. If you choose to use or connect third-party services, those services may provide us with access to certain information, and we may use, store, and disclose that information in accordance with our Privacy Policy.
Your use of third-party services is governed by the terms and policies of those third parties. Friendzone does not control and is not responsible for any third-party service, including its content, accuracy, availability, security, privacy practices, policies, or actions.
Any dealings you have with third parties through or in connection with the Service are solely between you and the applicable third party.
10. Mobile Services, Communications, Notifications, and Location
The Service may include features available through mobile devices, including account access, event access, profile features, messages, matching, notifications, SMS, email, push notifications, and location-related functionality.
By using the Service, submitting an application, creating an account, or providing your contact information, you agree that we may contact you by email, SMS, text message, push notification, in-app message, or other electronic means regarding your application, account, membership, events, transactions, safety, updates, or the Service.
Standard carrier message, data, and other fees may apply.
You may be asked to accept or deny push notifications or location access. You can manage certain notification and location settings through your device settings or the Service. Some features may not function properly if you disable notifications, location access, or other permissions.
If you change or deactivate your phone number or email address, you agree to promptly update your account information to avoid messages being sent to the wrong person.
11. Apple-Enabled Software Applications
Friendzone may offer software applications intended to be operated in connection with products made commercially available by Apple Inc. (“Apple”).
With respect to software made available for use on Apple-branded products, the following terms apply:
These Terms are between you and Friendzone, not Apple.
Friendzone, not Apple, is solely responsible for the Service and its content.
Your license to use the application is limited to a non-transferable license to use the application on an Apple-branded product that you own or control, as permitted by the Apple App Store Terms of Service.
Apple has no obligation to provide maintenance or support services for the Service.
Apple is not responsible for any warranties, claims, losses, liabilities, damages, costs, or expenses related to the Service, except as required by applicable law.
You represent and warrant that you are not located in a country or region subject to applicable embargoes or restrictions and are not listed on any applicable prohibited or restricted party list.
Apple and its subsidiaries are third-party beneficiaries of these Terms with respect to the Apple-enabled application and may enforce these Terms against you as a third-party beneficiary.

12. Intellectual Property
Friendzone owns and retains all rights, title, and interest in and to the Service, including its software, design, features, functionality, branding, trademarks, logos, text, graphics, images, videos, audio, content, data, layout, selection, arrangement, and other materials, except for User Content and third-party materials.
You may not copy, reproduce, modify, create derivative works from, distribute, sell, lease, license, publicly display, publicly perform, publish, download, store, transmit, reverse engineer, scrape, or otherwise exploit any part of the Service without our prior written consent.
You may not remove, obscure, or alter any copyright, trademark, or other proprietary notices appearing in or through the Service.

Any defects, errors, or issues will be corrected.
To the fullest extent permitted by law, Friendzone disclaims all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We assume no liability or responsibility for any:
Errors, mistakes, or inaccuracies of content.
Personal injury or property damage resulting from your access to or use of the Service or attendance at any Friendzone event.
Unauthorized access to or use of our servers or any personal information stored therein.
Interactions, disputes, or conduct between members, guests, attendees, venues, vendors, or third parties, whether online or offline.
Interruption, deletion, defect, delay, theft, destruction, unauthorized access, or failure to store any content, communications, or account information.
Technical malfunction, network issue, device issue, software issue, or failure of email, SMS, push notifications, or other communications.
Any material downloaded or otherwise obtained through the Service is accessed at your own discretion and risk.
15. Limitation of Liability
To the fullest extent permitted by law, Friendzone Match Inc., its affiliates, officers, directors, employees, contractors, licensors, service providers, partners, and agents shall not be liable to you or any third party for any indirect, incidental, consequential, special, exemplary, punitive, or similar damages, including loss of profits, data, goodwill, business opportunities, reputation, or other intangible losses arising out of or related to:
Your access to, use of, or inability to access or use the Service.
Your application, membership, subscription, account, or event access.
Your attendance at or participation in any Friendzone event.
Your interactions with other members, guests, attendees, venues, vendors, or third parties.
Any conduct or content of any member or third party.
Unauthorized access to or use of your account, content, communications, or information.
Any interruption, suspension, modification, restriction, termination, or discontinuation of the Service.
To the fullest extent permitted by law, Friendzone’s total liability to you for any claim arising out of or relating to the Service or these Terms shall not exceed the amount paid by you to Friendzone, if any, during the twelve months preceding the event giving rise to the claim.
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
16. Indemnification
You agree to defend, indemnify, and hold harmless Friendzone Match Inc., its affiliates, officers, directors, employees, contractors, licensors, service providers, partners, and agents from and against any claims, demands, damages, liabilities, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:
Your access to or use of the Service.
Your violation of these Terms or our Community Guidelines.
Your User Content.
Your violation of any law or the rights of another person.
Your conduct at any Friendzone event.
Your interaction with any member, guest, attendee, venue, vendor, or third party.
Your misuse of the Service, account, membership, ticket, invitation, or event access.
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with us in connection with such defense.
17. Termination
These Terms remain in effect while you use the Service or have an account, application, membership, subscription, ticket, or event access.
You may terminate your account at any time by following the instructions in the Service, where available, or by contacting us at hello@friendzone.co.
We may, in our sole discretion and subject to applicable law, suspend, restrict, terminate, delete, or deactivate your account, membership, application, ticket, event access, or access to any part of the Service at any time, with or without notice, for any reason, including if we believe that you:
Violated these Terms or our Community Guidelines.
Failed to uphold the values or standards of the Friendzone community.
Provided false, misleading, or incomplete information.
Engaged in conduct that may harm another person, the Service, Friendzone, or the community.
Created risk, liability, reputational harm, or safety concerns for Friendzone or others.
Upon termination, your right to access or use the Service will immediately cease. We may delete or restrict access to your account, content, information, and related materials, subject to applicable law and our Privacy Policy.
Termination does not entitle you to a refund of any membership fees, subscription fees, tickets, in-app purchases, or unused portions thereof, except where required by applicable law.
18. Changes to the Service
We reserve the right to modify, suspend, discontinue, restrict, replace, or remove any part of the Service, including applications, memberships, subscriptions, pricing, features, matching, events, tickets, communications, or availability, at any time and without liability, subject to applicable law.
Certain features, events, memberships, or updates may not be available to all users and may vary based on location, membership status, availability, capacity, preferences, testing, operational needs, or other factors determined by Friendzone.
19. Notices
We may provide notices to you using any reasonable means, including email, SMS, text message, push notification, in-app message, postings within the Service, or updates to our website.
You agree that notices delivered through these methods satisfy any legal requirement that such communications be in writing, to the fullest extent permitted by law.
You are responsible for keeping your contact information current.
20. Reviews and Feedback
Nothing in these Terms is intended to prevent you from providing lawful reviews, opinions, or feedback about Friendzone or the Service.
If you submit suggestions, ideas, feedback, or recommendations to Friendzone, you agree that we may use them without restriction or compensation to you.
21. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute, claim, or controversy arising out of or relating to these Terms, the Service, your account, your membership, your application, your subscription, your attendance at events, or your interactions through the Service shall be resolved exclusively in the courts located in Toronto, Ontario, and you consent to the personal jurisdiction and venue of such courts.
22. Severability
If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision shall be deemed modified or severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
23. Entire Agreement
These Terms, together with our Privacy Policy, Community Guidelines, and any additional terms, rules, or policies incorporated by reference, constitute the entire agreement between you and Friendzone Match Inc. regarding your use of the Service and supersede all prior or contemporaneous agreements, understandings, communications, or representations relating to the Service.
No agency, partnership, joint venture, employment, or franchise relationship is created as a result of these Terms.
You may not assign or transfer your account, membership, rights, or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms in connection with a merger, acquisition, sale of assets, restructuring, or by operation of law.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Our team and community reviewers have been carefully selected and operate under strict confidentiality obligations, so, other than as you elect to share it through your actions or activity within the Service (as defined below), your information, interest, and involvement remains strictly between you and us.
We only select community members who we believe will adhere to our Community Guidelines, including respecting the privacy and boundaries of our members, and who have agreed to do so pursuant to these Terms of Use. 1. Introduction
Friendzone Match Inc. (“Friendzone,” the “Company,” “we,” “us,” or “our”) provides its mobile application, website, events, and related services, including those related to applications, memberships, events, venues, locations, communications, matching, and other in-person interactions (collectively, the “Service”), subject to these Terms of Use, as amended from time to time (the “Terms”).
By submitting an application to Friendzone, creating an account, purchasing a membership, RSVPing to or attending an event, accessing the website, downloading the mobile application, or otherwise using the Service in any manner, you agree to be bound by these Terms, our Privacy Policy, and any Community Guidelines, rules, or policies made available by Friendzone from time to time.
If you do not accept and agree to be bound by these Terms, you may not access or use the Service.
We reserve the right, in our sole discretion and subject to applicable law, to change or modify these Terms at any time. When we do so, we will update the Effective Date above. 2. Application and Registration Process

If accepted, you may be required to register for an account and provide certain information in order to activate your membership or access certain features of the Service. You agree to provide and maintain true, accurate, current, and complete information about yourself.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to promptly notify us if you suspect any unauthorized use of your account or any other security breach.
Membership is a privilege, not a right. We reserve the right, in our sole discretion and subject to applicable law, to accept, deny, suspend, restrict, revoke, or terminate any application, account, membership, ticket, event access, or use of the Service at any time and for any reason.

By submitting User Content through the Service, you grant Friendzone a worldwide, non-exclusive, transferable, sublicensable, royalty-free license to host, store, use, copy, display, reproduce, adapt, edit, publish, modify, and distribute such User Content for the limited purpose of operating, providing, improving, developing, promoting, and protecting the Service.
We may remove, edit, restrict, or refuse to display any User Content at any time if we believe, in our sole discretion, that it violates these Terms, our Community Guidelines, applicable law, or may negatively affect the safety, privacy, trust, reputation, or experience of the Friendzone community.
You acknowledge that User Content you share with other users may be viewed, copied, saved, or shared by those users, even if prohibited by these Terms. You should use caution when sharing personal information or content.

Organizations, companies, brands, agencies, promoters, and businesses may not use the Service for any purpose without Friendzone’s express written consent, which may be withheld at our sole discretion.

The Service may include links to, integrations with, or features involving third-party websites, platforms, payment processors, app stores, venues, vendors, analytics providers, communication providers, social media platforms, or other third-party services.
You may be able to connect, verify, or provide information through third-party services such as Instagram, LinkedIn, Apple, or other social networking or platform services. If you choose to use or connect third-party services, those services may provide us with access to certain information, and we may use, store, and disclose that information in accordance with our Privacy Policy.
Your use of third-party services is governed by the terms and policies of those third parties. Friendzone does not control and is not responsible for any third-party service, including its content, accuracy, availability, security, privacy practices, policies, or actions.
Any dealings you have with third parties through or in connection with the Service are solely between you and the applicable third party.
10. Mobile Services, Communications, Notifications, and Location
The Service may include features available through mobile devices, including account access, event access, profile features, messages, matching, notifications, SMS, email, push notifications, and location-related functionality.
By using the Service, submitting an application, creating an account, or providing your contact information, you agree that we may contact you by email, SMS, text message, push notification, in-app message, or other electronic means regarding your application, account, membership, events, transactions, safety, updates, or the Service.
Standard carrier message, data, and other fees may apply.
You may be asked to accept or deny push notifications or location access. You can manage certain notification and location settings through your device settings or the Service. Some features may not function properly if you disable notifications, location access, or other permissions.
If you change or deactivate your phone number or email address, you agree to promptly update your account information to avoid messages being sent to the wrong person.
11. Apple-Enabled Software Applications
Friendzone may offer software applications intended to be operated in connection with products made commercially available by Apple Inc. (“Apple”).
With respect to software made available for use on Apple-branded products, the following terms apply:
These Terms are between you and Friendzone, not Apple.
Friendzone, not Apple, is solely responsible for the Service and its content.
Your license to use the application is limited to a non-transferable license to use the application on an Apple-branded product that you own or control, as permitted by the Apple App Store Terms of Service.
Apple has no obligation to provide maintenance or support services for the Service.
Apple is not responsible for any warranties, claims, losses, liabilities, damages, costs, or expenses related to the Service, except as required by applicable law.
You represent and warrant that you are not located in a country or region subject to applicable embargoes or restrictions and are not listed on any applicable prohibited or restricted party list.
Apple and its subsidiaries are third-party beneficiaries of these Terms with respect to the Apple-enabled application and may enforce these Terms against you as a third-party beneficiary.

Friendzone owns and retains all rights, title, and interest in and to the Service, including its software, design, features, functionality, branding, trademarks, logos, text, graphics, images, videos, audio, content, data, layout, selection, arrangement, and other materials, except for User Content and third-party materials.
You may not copy, reproduce, modify, create derivative works from, distribute, sell, lease, license, publicly display, publicly perform, publish, download, store, transmit, reverse engineer, scrape, or otherwise exploit any part of the Service without our prior written consent.
You may not remove, obscure, or alter any copyright, trademark, or other proprietary notices appearing in or through the Service.

To the fullest extent permitted by law, Friendzone disclaims all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We assume no liability or responsibility for any:
Errors, mistakes, or inaccuracies of content.
Personal injury or property damage resulting from your access to or use of the Service or attendance at any Friendzone event.
Unauthorized access to or use of our servers or any personal information stored therein.
Interactions, disputes, or conduct between members, guests, attendees, venues, vendors, or third parties, whether online or offline.
Interruption, deletion, defect, delay, theft, destruction, unauthorized access, or failure to store any content, communications, or account information.
Technical malfunction, network issue, device issue, software issue, or failure of email, SMS, push notifications, or other communications.
Any material downloaded or otherwise obtained through the Service is accessed at your own discretion and risk.
15. Limitation of Liability
To the fullest extent permitted by law, Friendzone Match Inc., its affiliates, officers, directors, employees, contractors, licensors, service providers, partners, and agents shall not be liable to you or any third party for any indirect, incidental, consequential, special, exemplary, punitive, or similar damages, including loss of profits, data, goodwill, business opportunities, reputation, or other intangible losses arising out of or related to:
Your access to, use of, or inability to access or use the Service.
Your application, membership, subscription, account, or event access.
Your attendance at or participation in any Friendzone event.
Your interactions with other members, guests, attendees, venues, vendors, or third parties.
Any conduct or content of any member or third party.
Unauthorized access to or use of your account, content, communications, or information.
Any interruption, suspension, modification, restriction, termination, or discontinuation of the Service.
To the fullest extent permitted by law, Friendzone’s total liability to you for any claim arising out of or relating to the Service or these Terms shall not exceed the amount paid by you to Friendzone, if any, during the twelve months preceding the event giving rise to the claim.
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

You agree to defend, indemnify, and hold harmless Friendzone Match Inc., its affiliates, officers, directors, employees, contractors, licensors, service providers, partners, and agents from and against any claims, demands, damages, liabilities, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:

Your violation of these Terms or our Community Guidelines.
Your User Content.

Your conduct at any Friendzone event.
Your interaction with any member, guest, attendee, venue, vendor, or third party.
Your misuse of the Service, account, membership, ticket, invitation, or event access.
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with us in connection with such defense.

These Terms remain in effect while you use the Service or have an account, application, membership, subscription, ticket, or event access.

We may, in our sole discretion and subject to applicable law, suspend, restrict, terminate, delete, or deactivate your account, membership, application, ticket, event access, or access to any part of the Service at any time, with or without notice, for any reason, including if we believe that you:
Violated these Terms or our Community Guidelines.
Failed to uphold the values or standards of the Friendzone community.
Provided false, misleading, or incomplete information.
Engaged in conduct that may harm another person, the Service, Friendzone, or the community.
Created risk, liability, reputational harm, or safety concerns for Friendzone or others.
Upon termination, your right to access or use the Service will immediately cease. We may delete or restrict access to your account, content, information, and related materials, subject to applicable law and our Privacy Policy.
Termination does not entitle you to a refund of any membership fees, subscription fees, tickets, in-app purchases, or unused portions thereof, except where required by applicable law.

We reserve the right to modify, suspend, discontinue, restrict, replace, or remove any part of the Service, including applications, memberships, subscriptions, pricing, features, matching, events, tickets, communications, or availability, at any time and without liability, subject to applicable law.
Certain features, events, memberships, or updates may not be available to all users and may vary based on location, membership status, availability, capacity, preferences, testing, operational needs, or other factors determined by Friendzone.

We may provide notices to you using any reasonable means, including email, SMS, text message, push notification, in-app message, postings within the Service, or updates to our website.
You agree that notices delivered through these methods satisfy any legal requirement that such communications be in writing, to the fullest extent permitted by law.

Any dispute, claim, or controversy arising out of or relating to these Terms, the Service, your account, your membership, your application, your subscription, your attendance at events, or your interactions through the Service shall be resolved exclusively in the courts located in Toronto, Ontario, and you consent to the personal jurisdiction and venue of such courts.

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision shall be deemed modified or severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

These Terms, together with our Privacy Policy, Community Guidelines, and any additional terms, rules, or policies incorporated by reference, constitute the entire agreement between you and Friendzone Match Inc. regarding your use of the Service and supersede all prior or contemporaneous agreements, understandings, communications, or representations relating to the Service.
No agency, partnership, joint venture, employment, or franchise relationship is created as a result of these Terms.
You may not assign or transfer your account, membership, rights, or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms in connection with a merger, acquisition, sale of assets, restructuring, or by operation of law.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
